Terms of Service

1. Agreement to these terms

ZenPilot Reports (the "Service") is operated by ZenPilot ("ZenPilot", "we", "us"). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of a company, you are agreeing on that company's behalf and confirm you have authority to do so.

2. The Service

The Service connects to your ClickUp workspace and turns time tracking data into reporting on profitability, utilization, projects, and related metrics. Reports depend on the completeness and accuracy of the data in your ClickUp workspace and the rates, costs, and projects your team enters. Reports are provided for informational purposes only and are not financial, accounting, tax, or legal advice.

3. Accounts and workspaces

You must provide accurate account information and keep your sign-in method secure. You are responsible for activity under your account. Workspace owners and admins control who can join their workspace and which roles and permissions members receive, including access to financial data.

4. Your data

You own the data you bring to the Service, including your ClickUp workspace data and the financial inputs your team enters. You grant us the limited rights needed to host and process that data solely to provide and improve the Service. By connecting a ClickUp workspace you confirm you are authorized to connect it.

5. Acceptable use

  • No unlawful use or use that infringes the rights of others.
  • No attempts to bypass role permissions, rate limits, or other access controls.
  • No reverse engineering, scraping at abusive volume, or disrupting the Service.
  • No reselling or white-labeling the Service without a written agreement with us.

6. Plans, fees, and billing

Paid plans are billed through Stripe and renew automatically until canceled. You can cancel at any time; cancellation takes effect at the end of the current billing period. Plan features and limits are described on the pricing page and may evolve. We will give reasonable notice of price changes. Fees exclude any applicable taxes.

7. Early access features

Parts of the Service are new and under active development. Features marked as beta or early access, and the Service during pilot periods, may change, be interrupted, or be removed without notice.

8. Third-party services

The Service interoperates with third-party services such as ClickUp, Google, and Stripe. Your use of those services is governed by their own terms, and we are not responsible for them.

9. Termination

You may stop using the Service at any time, and workspace owners may delete their workspace and its data from within the app. We may suspend or terminate access for breach of these terms, providing notice where practical.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that reports will be error-free or that the Service will be uninterrupted.

11. Limitation of liability

To the maximum extent permitted by law, ZenPilot will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for claims relating to the Service is limited to the amounts you paid us in the twelve months before the claim, or one hundred US dollars if you have paid nothing.

12. Changes to these terms

We may update these terms from time to time. If a change is material we will notify you by email or in the app before it takes effect. Continued use of the Service after a change means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law rules.
